Date of Issue: January 15, 2022

Property Information

Address: 88 Morgan Street, Jackson Plains, NC 94202

Description: The herein described real estate encompasses a total area of 2,340 square feet, subdivided into an 1,800 square foot primary clinic space and a 540 square foot area comprising a public lobby and administrative office. The clinic, previously designated for medical use, retains basic infrastructural elements suitable for health services. While structurally sound, the property requires significant updates and renovations to meet current medical facility standards. The property's exterior presents a utilitarian aesthetic with a basic concrete façade, minimalistic window placements, and a flat roofline. The building's age and limited maintenance history are evident in its exterior wear and the outdated style of its interior fixtures and finishes.

Transfer and Rights

Ownership Transfer: This document certifies the complete transfer of ownership rights from the previous proprietor, Night City Medical Holdings, to the undersigned owner. This transfer is inclusive of all legal titles, rights, and interests in the property at 88 Morgan Street, Suite 101, Jackson Plains, Night City. It is understood that the transfer is unconditional and includes the building, land, and any existing fixtures or installations therein. The property is to be used in accordance with its designated purpose as a medical facility. Any change of use will require formal approval from the Night City Zoning Board and adherence to the relevant codes and regulations.

Liabilities and Responsibilities: The undersigned owner assumes all liabilities and responsibilities associated with the property from the date of transfer. This includes, but is not limited to, the payment of all current and future taxes, utility bills, maintenance costs, insurance premiums, and any other expenses arising from the ownership of the property. The owner is also responsible for ensuring that the property meets all health, safety, and environmental standards as mandated by Night City laws and regulations. Failure to maintain compliance may result in penalties, fines, or revocation of property rights.

Legal and Regulatory Compliance

Zoning Compliance: The property located at 88 Morgan Street falls under the 'C1 - Local Commercial District' as per the Night City Zoning Ordinance. This designation permits the operation of medical clinics, among other commercial activities, but restricts the use for industrial purposes. Any proposal for redevelopment, structural modification, or change in usage must be submitted for review and approval to the Night City Planning Commission. Adherence to the 'C1' zoning regulations is mandatory, including limitations on building height, signage, parking availability, and noise levels.

Environmental Compliance: In accordance with the Night City Environmental Standards, the owner is required to conduct a thorough assessment of the property for any hazardous materials or pollutants. Should any such materials be present, proper mitigation procedures must be implemented in compliance with the Night City Environmental Protection Agency guidelines. The owner is liable for any environmental damage or health hazards emanating from the property and must ensure regular inspections to maintain environmental safety standards.

Easements and Encumbrances:

Utility Easements: The property at 88 Morgan Street is subject to existing utility easements as recorded in the Night City Public Utility Commission's documentation. This includes, but is not limited to, easements for electrical lines, water and sewage pipes, and telecommunications cables. These easements grant specific rights to the city and relevant utility providers to access, maintain, and repair utility lines and infrastructure within designated areas of the property, typically along its boundaries. The owner must not obstruct these easements and should allow reasonable access for utility maintenance and emergency repairs.

Right of Way: A public right of way exists along the frontage of the property, extending approximately 10 feet from the edge of Morgan Street. This space is reserved for pedestrian movement and city maintenance activities, such as sidewalk repair and street cleaning. The owner must ensure that this area remains unobstructed and accessible to the public at all times.

Access Easement for Adjacent Properties: An access easement is in place for the benefit of the neighboring property located at 90 Morgan Street. This easement allows for the use of a shared driveway located on the eastern boundary of the property for ingress and egress purposes. The maintenance of this driveway is a shared responsibility between the owner of 88 Morgan Street and the owner of 90 Morgan Street. Any disputes or modifications to this arrangement must be negotiated between the parties and, if necessary, mediated by the Night City Property Dispute Resolution Board.

Restrictive Covenants: The property is bound by restrictive covenants as per the Jackson Plains Neighborhood Association. These covenants include limitations on exterior modifications to maintain the architectural harmony of the area, noise restrictions, and prohibitions on certain types of commercial activity. Adherence to these covenants is mandatory and enforced by the Association, with potential penalties for non-compliance including fines and legal action.
